Website and platform terms
Terms of Use
The rules that govern access to Everdawn’s websites, technology, administrative services, and pathways to clinical care.
Contents10 sections
1. Acceptance and eligibility
#These Terms of Use (“Terms”) form an agreement between you and Matter Labs LLC, doing business as Everdawn (“Everdawn,” “we,” “us,” or “our”), concerning your access to and use of Everdawn websites, applications, communications, and non-clinical services (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally able to enter into a binding agreement to use the Platform. If you use the Platform on behalf of another person or organization, you represent that you have authority to do so.
2. Everdawn and the medical practices
#Matter Labs LLC operates the Everdawn brand and provides administrative, technology, customer-support, scheduling, payment-support, and other non-clinical services. Medical services are provided by independent professional medical entities and licensed clinicians made available through Everdawn's clinical-network partner (collectively, the “Partner Medical Practices”).
Everdawn does not practice medicine or direct the independent clinical judgment of physicians or other licensed professionals. A provider–patient relationship is formed only between you and the applicable licensed medical provider when that provider accepts you for care.
References to “Everdawn” in marketing materials may describe the coordinated experience. They do not change which entity is legally responsible for medical care.
3. Medical information and clinical decisions
#General educational content on the Platform is not a diagnosis, treatment plan, or substitute for professional medical advice. Do not disregard or delay seeking medical care because of information on the Platform.
All clinical decisions, including whether testing, medication, supplementation, referral, or in-person evaluation is appropriate, are made by licensed providers using their independent judgment. Access to the Platform does not guarantee that you will be accepted for care, receive a particular test, or receive a prescription.
Prescriptions are issued only when legally permitted and clinically appropriate. Everdawn does not guarantee access to controlled substances or any particular medication.
4. Telehealth limitations
#Telehealth uses electronic communications to connect patients and providers in different locations. It can improve access, but it has limitations. A provider may be unable to complete a physical examination, technology may fail, records may be incomplete, or an in-person evaluation may be more appropriate.
You must accurately disclose your physical location at the time of each clinical interaction. Services may be limited or unavailable when you are located in a state where your provider is not licensed. Additional terms appear in the Telehealth Informed Consent.
5. Accounts and accurate information
#You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Notify us promptly if you suspect unauthorized access.
You agree to provide information that is complete, current, and accurate, including identity, contact, location, medical history, medications, allergies, and payment information. Do not impersonate another person, create an account for someone without authority, or provide information you know is misleading.
6. Fees, programs, and insurance
#Final fees, included services, medication costs, laboratory costs, shipping charges, billing frequency, and any recurring-payment terms will be disclosed before you authorize payment. Marketing examples do not create a binding offer.
Everdawn programs are not health insurance and are not a substitute for comprehensive medical coverage. You remain responsible for emergency, hospital, specialist, and other services that are not expressly included.
Cancellation, refund, replacement, and billing terms presented at checkout control for the program you select.
7. Electronic communications
#You consent to receive transactional communications relating to your account and requested services. Marketing communications require any consent required by law and may be stopped using the instructions in the message.
Email and standard text messages may not be encrypted. Do not use ordinary email or SMS for emergencies or highly sensitive clinical information. See the Electronic Communications Consent for additional details.
8. Acceptable use and ownership
#The Platform, including its software, design, text, graphics, trademarks, and other content, is owned by Everdawn or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-transferable right to use it for lawful, non-commercial purposes.
You may not attempt to gain unauthorized access; interfere with security; scrape or reverse engineer the Platform; introduce malicious code; use it to violate another person’s rights; or reproduce, sell, or commercially exploit Everdawn content without written permission.
9. Disclaimers and limits
#The Platform is provided on an “as available” basis. To the extent permitted by law, Everdawn disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
To the extent permitted by law, Everdawn will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the Platform. Nothing in these Terms limits liability that cannot legally be limited, or limits the professional responsibility of a medical provider for clinical services.
10. Changes, termination, and contact
#We may update the Platform and these Terms. Material changes will be posted with a revised effective date and, where required, additional notice. We may suspend access when reasonably necessary for security, legal compliance, nonpayment, misuse, or protection of patients and providers.
If part of these Terms is unenforceable, the remaining provisions continue in effect. Applicable law, venue, and any dispute process stated in an executed program, payment, or clinical agreement will control for matters covered by that agreement.
